VIRO REWARDS PROGRAM TERMS AND CONDITIONS OF USE

 

1     Introduction

1.1        These terms and conditions set out the basis on which the Viro Rewards Program operates.

1.2        These terms and conditions apply to all Viro Reward transactions after these terms and conditions have been accepted by a member.

1.3        Viro may amend these terms and conditions from time to time. Viro will post all changes to these terms and conditions on the Website (www.viro.com.au)

1.4        Members of the program will be bound by these terms and conditions, as varied from time to time.

1.5        A Member will be bound by any changes to these terms and conditions 30 days after they are posted on the Website.

2            Membership

2.1        A person who wishes to become a Member of the program can apply in the ways provided by Viro from time to time.

2.2        Viro may refuse an application for membership in its discretion.

2.3        A new Member will be bound by these terms and conditions upon a member using a Viro Visa Prepaid Card or entering into any transaction that would give rise to Viro Rewards.

2.4        A Viro Merchant Partner offers a Rebate to the Viro Rewards Program, entirely at the discretion of that Merchant Partner. The Rebate may vary between participating Viro Merchant Partners, details of whom are available online at www.viro.com.au.  This Rebate is allocated between both Viro Members in the form of Viro Rewards, Viro Merchant causes, Viro Member causes and additionally a portion of this Rebate is allocated to Viro for costs associated with the Program. A Member earns Viro Rewards on all products and services they purchase when using the Viro Members or Viro Visa Prepaid Card at a participating Viro Merchant Partners or by purchasing products or services from Viro Emerchants accessed via the Viro website (proof of purchase is required). A Member may be entitled from time to time, to bonus Viro Rewards under specially advertised promotions or competitions (see Merchant Partners section on www.viro.com.au).

2.5        A Member cannot sell, transfer, assign or otherwise deal with its Viro Rewards except in accordance with these terms and conditions.

2.6        Viro will calculate a Member’s Viro Rewards balance at a given time and post that information on the website.  A Member may only access this information by inserting their Viro Member’s membership number and a password.

2.7        At a given time, a Member’s Viro Rewards balance will be:

(a)         increased by the Viro Rewards earned by that Member; and

(b)         decreased by the Viro Rewards:

(i)          used or redeemed by that Member; and

(ii)         that relate to a transaction of the Member that has been refunded, in relation to transaction processed by Viro on that day.

2.8        Viro will not credit a Member with Viro Rewards in respect of a transaction undertaken at a Viro Merchant Partner after a Viro Merchant Partner has ceased to participate in the Program or Viro is unable to recover the payable in respect to the transaction.

2.9        Participating Merchant Partners may change at any time without notice.  Viro is not liable for any change in Merchant Partners. An updated list of Viro Merchant Partners can be found online at www.viro.com.au.

2.10     A Member is liable for any tax, liability or duty:

(a)         arising from its participation in the Viro Environmental Program; or

(b)         in relation to its Viro Rewards.

2.11     Participating Merchant Partners displaying the Viro logo will usually accept a Viro Visa Prepaid Card and Viro Gift Card at that outlet.  However, the display of the Viro logo by Merchant Partners is not a warranty by Viro that the Merchant Partners will accept Viro Visa Prepaid Cards or Viro Gift Cards at that outlet and Viro has no liability in that event.  A Member should notify Viro if a Merchant Partner that displays the Viro logo does not accept the Member’s Viro Visa Prepaid Card and/or Viro Gift Card.

3            Viro Visa Prepaid Cards

A Member consents to the Viro Prepaid Visa Card Conditions of Use, available online.

Indue Ltd ABN 97 087 822 464 is the issuer of the Viro Visa Prepaid Card and has appointed Viro International Pty Ltd ABN 27 125 470 000 as a Visa Third Party Agent.  Viro International Pty Ltd is responsible for the marketing, distribution and management of the Viro Visa Prepaid Card program.  Refer to the terms and conditions of use before acquiring the Viro Visa Prepaid Card.  

4            Viro Gift Card Terms And Conditions Of Use

4.1        A Member consents to the Viro Gift Card Terms and Conditions of Use, available online at www.viro.com.au. The Viro Gift Card Terms and Conditions of Use forms part of these terms and conditions. If there is any inconsistency between the Viro Gift Card Terms and Conditions of Use and these terms and conditions, the Viro Gift Card Terms and Conditions of Use will prevail to the extent of the inconsistency.

4.2        A Member may use a Viro Gift Card to purchase products and/or services in store, provided that the Viro Gift Card has enough unused value to make the purchase.

4.3        Keep your Viro Gift Card secure – anyone holding the Viro Gift Card can use its value to make purchases. If your Viro Gift Card is lost or stolen, or you suspect an unauthorised transaction, immediately report this by calling 1300GOVIRO (1300 46 8476).  Viro may be able to stop the Viro Gift Card value being used, but require the card number, original balance and expiry date.

4.4        A The Viro Gift Card is issued by Viro International Pty Ltd. The Viro Gift Card can be redeemed at Viro Merchant Partners, or any other merchant that accepts Eftpos, subject to the merchant’s discretion.

5      Termination

5.1        A Member may terminate its membership in the Program at any time by giving written notice to Viro (charges apply, refer paragraph 6).

5.2        Viro may terminate a Member’s membership in the Program by notice in writing to a Member if a Member (charges apply, refer paragraph 6):

(a)         is in breach of these terms and conditions;

(b)         supplies Viro with any misleading information, or makes any misrepresentations to Viro or any Merchant Partners in connection with the Program;

(c)          passes away.

5.3        Viro may suspend or terminate the Program at any time without notice.  Viro will not be liable in any way to a Member for the suspension or termination of the Program.

6            Effect of termination

6.1        If Viro terminates the Program, Viro will pay to a Member, the Viro Rewards entitlement of that Member within a reasonable time after Viro terminates the Program.

6.2        Any Viro Rewards on a Members Viro Gift Card will be forfeited if:

(a)         the Member terminates the Member’s membership in the Program; or

(b)         Viro terminates a Member’s membership in the Program under these terms and conditions.

6.3        If a Member passes away, Viro will pay to the Trustee of the Member’s estate, the value of the deceased Member’s accumulated Rewards within 30 days notice and supporting evidence of the Member’s passing.

6.4        If:

(a)         Viro Rewards are payable to a Member in accordance with this clause; and

(b)         Viro has been unable to pay that Viro Rewards to a Member within 2 years of the day on which the amount became payable to the Member, Viro will deal with those Viro Rewards as unclaimed money under the Public Trustees Act (QLD) 1978.

7            Privacy Policy and Information Collecting

7.1        A Member consents to the Viro Privacy and Information Collecting Policy, available online at www.viro.com.au. The Viro Privacy Policy forms part of these terms and conditions.  If there is any inconsistency between the Viro Privacy Policy and these terms and conditions, the Viro Privacy Policy will prevail to the extent of the inconsistency.

8            Viro Green Store

8.1        In providing the goods and services through the Viro Green Store, we have used our best endeavours to ensure that the products provided by us are healthy and safe, however, we rely on the manufacturers in providing accurate information for us to assess their products. We disclose the ingredients that we have been provided by the manufacturers so that you can assess the products for yourselves. We do not claim that these products are safe against allergies in all circumstances and you are required to satisfy yourselves as to the claims by the manufacturers and as to the safety of the products.

9            Other Matters

9.1        Viro has no responsibility for and is not liable for:

(a)         the actions of any Merchant Partners or any complaints, claims or other issues that a Member may have with a Merchant Partners;

(b)         any technical difficulty or malfunction at a Merchant Partner’s point of sale, which may impede a Member’s ability to receive Viro Rewards;

(c)          Products that a Member buys using its Viro Visa Prepaid Card or Viro Gift Card; or

(d)         any misuse or unauthorised use of a Member’s Viro Visa Prepaid Card or Viro Gift Card, other than as is set out in the Viro Visa Prepaid Card Terms and Conditions Of Use.

9.2        A Member must resolve any complaints about:

(a)         the actions of a Merchant Partner; or

b) Products bought with its Viro Visa Prepaid Card or Viro Gift Card, directly with the Merchant Partner.

9.3        Viro may receive and pay various commissions in relation to each transaction that a Member undertakes using its Viro Visa Prepaid Card.

9.4        We may include links to other sites, or third parties may provide links to other sites. These links are provided for convenience and we have no control over these sites and their content. As such, the inclusion of these links is not an endorsement of that site.  You agree that Viro holds no liability and no responsibility for any direct or indirect loss or damage which may be suffered by any recipient, or any other person, through relying on content, goods or services available on or through any such site or resource.

9.5        All content on this website including the text, material, images, graphics and advertisements are Copyright © Viro. You may only view, download or print material from the website for your own personal and non-commercial use. You may not change, copy, reproduce, republish, upload to a third party, transmit or distribute this Content in any way except as expressly provided by us or expressly authorised in writing by us.

9.6        Viro expressly excludes all terms, conditions and warranties implied by law into these terms and conditions to the maximum extent permissible by law.  If any term, condition or warranty implied by law into these terms and conditions cannot be excluded, that term, condition or warranty is included to the maximum extent required.

To the maximum extent permissible by law, any liability that Viro may have to a Member, whether for negligence, breach of contract or otherwise is limited to dollar for dollar of the Viro Rewards value that the Member has in its Rewards Account.

9.7        Merchant Partners may not make any representation, warranty or statement on behalf of Viro.  Viro will not be liable in respect of any such representations, warranties or statements.

10        Allocation of the Rebate

Of the Rebate paid by a participating Viro Merchant Partner to Viro Rewards:

-          Not less than 40% will be attributed to Viro Member Rewards

-          Not less than 10% will be contributed to Members nominated causes

-          Not less than 10% will be contributed to Viro Merchants nominated causes

Refer to the Viro Merchant Partner Directory on the Website for individual Viro Merchant Partner offerings.

 11.      Viro Rewards Points Expiry

If a Viro member has not conducted a rewardable transaction for twelve (12) months and Viro has been unable to contact the member, then accumulated reward points will expire and be forfeited.

 

  Definitions


 

EFTPOS


means Electronic Funds Transfer at the Point of Sale.

 

GST


refers to the goods and services tax under a New Tax System (Goods and Services) Act 1999 (GST Act).

 

Indue Ltd 


Indue Ltd ABN 97 087 822 464 is the issuer of the Viro Visa Prepaid Card only. Indue is not responsible or associated with the Program. The program is offered and provided by Viro International Pty Ltd.

 

Intellectual Property


means any copyright, trade mark rights, patent rights, innovative patent rights, design rights, designs and includes all know-how, technical and confidential information, inventions, drawings, techniques, computer software and storage devices, computer discs, formulae, concepts not reduced to material form, plans and models.

 

Member


means a person who has become a member of the Program in accordance with the Viro Visa Prepaid Cardholders  Terms and Conditions Of Use (Viro Visa Prepaid Cardholders; Viro Gift Card; Viro Rewards Program) and the Viro Privacy Policy.

 

Member Nominated Cause


means the cause fund to which Viro automatically contributes a portion of the rebate on behalf of the cardholder or member

 

Viro Merchant Partner


means a merchant who has agreed to participate and offer a Rebate to the Viro Rewards Program and at which a Member of the Program can earn Viro Rewards points.

 

Participating Merchant


means a merchant who has agreed to participate in the Program (Merchant Partner) and at which a Viro Visa Prepaid Cardholder can earn and use Viro Rewards.

 

Participating Merchant's Nominated Cause Fund


means the cause fund to which Viro automatically contributes a portion of the rebate on behalf of the Participating Merchant's Partner.

 

POS


means point of sale.

 

Privacy Policy


means the Viro Privacy Policy and Information Collecting Policy which is displayed on the Website.

 

Products


means goods and/or services which may be purchased via a Participating Merchant Partner.

 

Program


means the Viro Rewards Program operated by Viro International Pty Ltd.

 

Relevant Person


means an employee of a Participating Merchant Partner or related person of an employee of a Merchant Partner.

 

Rebate


means the absolute value that a Viro Merchant Partner offers to the Viro Program on all of the Viro Merchant Partners Products and services.

 

Rewards Account


means the account which accumulates the Viro Rewards for Viro Visa Prepaid Cardholders and Viro Members. These Viro Rewards can be used when the Viro Visa Prepaid Cardholder or Viro Member has accumulated enough Viro Rewards to order a Viro Gift Card, which can be spent at any merchant that accepts Eftpos. The Viro Visa Prepaid Cardholder or Member can also use the Viro Rewards in this account to purchase goods from the Viro Green Store.

 

Rewardable Transaction


means the legitimate purchase of goods or services by Viro Members from Viro Merchants for which Viro Reward points are allocated under the Viro program.

 

System


means the technology and systems that supports the Program.

 

Visa


means Visa Worldwide PTE

 

Viro


means Viro International Pty Ltd ACN 125 470 000. 

 

Viro Visa Prepaid Card


means the Viro Visa Prepaid Reloadable Card issued by Indue Ltd at the request of Viro International Pty Ltd.

 

Viro Rewards


means the portion of the Rebate from the Merchant Partner that is allocated to Member Rewards, and/or causes nominated by Viro Members and Merchant Partners.

 

Viro Reward Points


means points used to claim Viro Gift cards that can be redeemed and spent at merchants that accept Eftpos and can be used to purchase goods on-line from the Viro Green Store. 

 

Website


means www.viro.com.au or any other website operated by Viro for the purposes of the Program.
